Section 8 Company (nonprofit) incorporation

A Section 8 company is a company formed to promote charity (education, health, environment, art, science) where profits are reinvested and never paid as dividends. Rapidfiling incorporates it with the licence the Companies Act requires.

Service overview

Section 8 of the Companies Act, 2013 lets a company be formed for charitable objects without the word "Limited" in its name, on the condition that any income or profit is applied to those objects and no dividend is paid to members. The Registrar grants the section 8 licence after reviewing the proposed objects, the draft Memorandum and Articles, and the promoters' declarations.

Compared with a society or a trust, a Section 8 company has a corporate structure, defined governance, and stronger credibility with donors and CSR funders. It also carries real compliance: annual filings, audited accounts, and restrictions on altering its objects. For nonprofits planning to receive CSR funding or foreign contributions, the company form is usually the cleanest base.

Rapidfiling prepares the licence application and incorporation together, drafts objects that satisfy the Registrar, and hands over the registrations to pursue next, 12A and 80G for donor tax benefits being the usual ones.

Who this service is for

  • Founders building an education, health, environmental, or arts nonprofit
  • CSR implementation vehicles promoted by businesses
  • Existing societies or trusts wanting a corporate governance structure
  • Teams planning to apply for 12A/80G and eventually FCRA registration

Scope of support

What support includes

  • Review of proposed objects against what the Registrar accepts for a section 8 licence
  • Name reservation and the licence application, with the required declarations
  • SPICe+ incorporation with Memorandum and Articles drafted for nonprofit governance
  • Company PAN and TAN, and guidance on the 12A/80G applications that follow

What support does not include

  • Any dividend, profit distribution, or benefit to members, the structure forbids it
  • 12A, 80G, and FCRA registration, which we quote as separate applications
  • Follow-up registrations, quoted separately once the company exists

Requirements and documents

  • PAN and Aadhaar of all proposed directors and members
  • Registered office proof with a utility bill and owner No Objection Certificate or rent agreement
  • A statement of proposed charitable objects and activities
  • Photographs and contact details of the promoters

How the process works

  1. 1. Enquire and test the objects

Share the mission through the form. We check whether the objects fit section 8 and whether a company beats a trust or society for your plans.

  2. 2. Licence and name

We reserve the name and prepare the section 8 licence application with the declarations required.

  3. 3. Constitution documents

We draft the Memorandum and Articles so the objects, capital clause, and distribution prohibition read correctly for a nonprofit.

  4. 4. Filing and approval

The licence and incorporation are filed; we handle the Registrar's queries until the licence and Certificate of Incorporation arrive.

  5. 5. Handover

You receive the certificate, PAN, TAN, and a plan for follow-up registrations when you are ready.

Fees and timing

What influences the quote

  • Number of directors and members
  • State stamp duty on the Memorandum and Articles
  • Depth of objects drafting the Registrar's office will need

Government fees and professional fees are shown separately in every quote. GST treatment is confirmed in the quote. Rapidfiling does not publish fixed prices for this service; request a quote to receive the fee breakdown for your case.

Important limitations

  • The licence can be revoked and the company converted only as the Act allows
  • Objects must remain charitable; commercial activity stays incidental
  • Approval depends on the Registrar's assessment of the objects and promoters

Frequently asked questions

Can a Section 8 company pay salaries to its founders?

Yes, reasonable remuneration for actual work is allowed and must be disclosed, but profits cannot be distributed as dividends. The accounts and filings must show the remuneration is for services rendered.

Section 8 company, trust, or society, which is better?

For CSR funding, formal governance, and scale, a Section 8 company is usually strongest. Trusts suit family-run charities; societies suit member-driven bodies. We discuss your plans before you commit.

Do donors get tax benefits from our side?

Only after the company holds 12A and 80G registrations, which are separate applications to the income tax department after incorporation. We quote those once the company exists.

Can a Section 8 company earn revenue?

Yes, by charging for programs or selling material related to its objects. The surplus must be applied to the objects, not distributed. We flag activities that would cross the charitable line.
