One Person Company (OPC) incorporation

Service overview

The Companies Act, 2013 created the One Person Company so a solo founder could enjoy limited liability and a separate legal identity without finding a co-founder. Only one shareholder is needed, but that shareholder must name a nominee who takes over the shares if anything happens to the owner. Only a natural person who is an Indian citizen and resident in India can be the member or the nominee, and one person can be a member of only one OPC at a time.

An OPC is a real company: it gets a Certificate of Incorporation, PAN and TAN, a Memorandum and Articles, and a board of at least one director. It files annual returns and financial statements like any other company, though certain exemptions apply to OPCs. If your turnover crosses ₹2 crore or your paid-up capital crosses ₹50 lakh, the law requires conversion into a regular company, so we tell you at the outset when an OPC stops fitting.

Rapidfiling handles the full incorporation (name reservation, Digital Signature Certificates, the director Identification Number, SPICe+ filing, and the nominee consent) and hands you a ready-to-operate company file.

How the process works

  1. 1. Enquire and confirm eligibility

Share your details through the form. We confirm the citizenship, residency, and single-OPC rules are met before any filing.

  2. 2. Name and DSC

We arrange Digital Signature Certificates and reserve your preferred company name through the MCA portal.

  3. 3. Incorporation documents

We draft the Memorandum, Articles, and nominee consent, and prepare the SPICe+ application with you.

  4. 4. Filing and approval

The SPICe+ package is filed with the Registrar of Companies. We respond to any resubmission the RoC asks for.

  5. 5. Handover

You receive the Certificate of Incorporation, PAN, TAN, and a written list of the filings and registers an OPC must maintain.

Fees and timing

  • Conversion to a private or public company becomes mandatory above the turnover or capital thresholds
  • An OPC cannot be incorporated as a Section 8 (nonprofit) company

Frequently asked questions

Who can be the nominee in an OPC?

The nominee must be an Indian citizen and resident in India who consents in writing to become the member if the owner ceases to be one. The nominee's name appears in the Memorandum filed at incorporation.

Can an OPC raise investment?

Venture and institutional investors generally prefer private limited companies, and an OPC cannot have more than one shareholder. Most founders incorporate an OPC to start clean and convert to a private limited company before raising funds.

What compliance does an OPC have after incorporation?

Audited accounts and an income tax return each year, an annual return, and statutory registers. Certain exemptions apply to OPCs, such as not needing a full board meeting cadence. We give you a compliance calendar at handover.

Can I change the nominee later?

Yes. The member can change the nominee by filing the prescribed form with the RoC and obtaining the new nominee's consent. We can handle that filing when it is needed.
