Proprietorship registration

A proprietorship is a business owned by one person, registered in your own name. Rapidfiling prepares the paperwork for the registrations a proprietorship needs and explains the order in which to complete them.

Service overview

A proprietorship has no separate legal existence. The business and the owner are the same person for tax, liability, and every other purpose. That makes it the simplest structure to start and the hardest one to separate from your personal affairs later, so it suits trading, freelancing, and small service businesses that want to begin quickly.

Because there is no company or firm to incorporate, "proprietorship registration" in practice means the registrations that prove the business exists: a Permanent Account Number in your own name used for the business, Udyam (MSME) registration, GST registration if you cross the turnover threshold or sell inter-state, and a shop and establishment or trade licence where the state or municipality requires one. Which of these apply depends on what you sell and where.

Rapidfiling reviews your activity first, tells you which registrations apply, and prepares each application in the right order so the details match across documents.

Who this service is for

  • Freelancers and consultants invoicing their first clients
  • Traders and small retailers who want GST and Udyam in place
  • Home-based food sellers and service providers starting locally
  • Anyone testing a business idea before committing to a company structure

Scope of support

What support includes

  • A review of your business activity and the registrations that apply to it
  • Preparation and filing of Udyam, GST, and shop and establishment applications where required
  • Guidance on opening a current account in the business name
  • A checklist of records a proprietor must keep from day one

What support does not include

  • Creation of a separate legal entity, a proprietorship cannot be "incorporated"
  • Advice on transferring the business to a company later (we can quote for that separately)
  • Income tax return filing, which is quoted as a separate service

Requirements and documents

  • PAN card and Aadhaar of the proprietor
  • Proof of the business address, electricity bill, rent agreement, or No Objection Certificate from the owner
  • Bank account details in the proprietor's name
  • A brief description of the goods or services you will sell

How the process works

  1. 1. Share your requirement

Enquire through the form on this page and describe what your business will do and where it will operate.

  2. 2. Review and scope

We map your activity to the registrations that apply, confirm the list with you, and explain the fees before any work starts.

  3. 3. Documents

You share identity, address, and business proof. We check them for the details each application will ask for.

  4. 4. Applications

We prepare and submit the applications in the correct order, usually Udyam first, then GST or the local licence.

  5. 5. Certificates and handover

We share each certificate or registration number as it is issued and explain what to do with it.

Fees and timing

What influences the quote

  • Which registrations apply, Udyam alone costs far less in effort than Udyam plus GST plus a local licence
  • Whether your state requires a shop and establishment registration and its fee structure
  • Whether you already have the documents in the exact names required

Government fees and professional fees are shown separately in every quote. GST treatment is confirmed in the quote. Rapidfiling does not publish fixed prices for this service; request a quote to receive the fee breakdown for your case.

Important limitations

  • A proprietorship does not protect your personal assets from business liabilities
  • Approval of GST or a local licence is decided by the department, not by Rapidfiling
  • Some states restrict which businesses a proprietorship can run from certain premises

Frequently asked questions

Is there a separate registration called proprietorship registration?

No. A proprietorship comes into existence when you start the business in your own name. What registers are the supporting documents (Udyam, GST, and the local shop licence) which together serve as proof of the business.

Can I convert a proprietorship to a private limited company later?

Yes, and many owners do. The company is a fresh incorporation; the proprietorship's assets and approvals are then transferred or applied for again in the company's name. We quote for the conversion as a separate job once you decide.

Do I need GST from day one?

GST applies once you cross the applicable turnover limit, sell inter-state in covered categories, or sell through platforms that require it. We review your situation during scoping and tell you honestly if GST is not needed yet.

Can a proprietorship have a bank account in the business name?

Yes. Banks open current accounts in the proprietor's name "trading as" the business, usually asking for Udyam or GST documents and address proof. We guide you on what your preferred bank will ask for.
