Public Limited Company incorporation
A public limited company can invite the public to subscribe to its shares and lists its shares more freely than a private company, in exchange for stricter governance. Rapidfiling incorporates public companies and explains the commitment honestly before you choose one.

Service overview
A public company under the Companies Act, 2013 needs at least three directors and seven shareholders, and unlike a private company it may invite the public to buy its shares and debentures. Its Articles must not restrict share transfer, and its board and audit requirements are heavier, including more stringent audit committee and independent director rules once listing thresholds apply.
Most businesses do not need to start as a public company. The structure is justified when a venture genuinely plans a public issue, operates at scale with many shareholders, or continues as a listed or large unlisted public company. Incorporating public "for prestige" usually only multiplies compliance costs, which is why our scoping conversation often ends with a private limited company instead, a decision we put in writing.
Rapidfiling handles the incorporation through SPICe+ with the Constitution documents a public company needs, and hands over a compliance calendar that reflects the heavier regime.

Frequently asked questions
Can a public company start as a public company?
Yes, subject to the same minimums, three directors and seven shareholders. Many large family groups operate as unlisted public companies; the "public" refers to shareholding freedom, not listing.
Is a public company better for raising money?
It can invite the public to subscribe, which private companies cannot. But venture-stage funding happens in private companies first because compliance is lighter. Raise in private form; convert later if a public issue is real.
What extra compliance applies?
Broader board requirements, restrictions on certain loans and investments, and (at scale) secretarial audit and independent directors. Our compliance calendar lists the duties that apply to your size.
Can we convert from private to public later?
Yes, by altering the Articles and filing the conversion with the RoC. We quote the conversion separately once your plans are concrete.
