Partnership firm registration

A partnership firm is a business run by two or more partners under a written partnership deed. Rapidfiling drafts the deed around your agreed terms and registers the firm with the Registrar of Firms of your state.

Service overview

Partnerships in India are governed by the Indian Partnership Act, 1932. The firm itself is created by the partnership deed (the written agreement between the partners) and registration with the Registrar of Firms, while not compulsory in every state, is what allows partners to enforce their rights against each other and against third parties in court. An unregistered firm limits both, which is why we treat registration as the default.

The deed is where most future disputes are prevented. It records the profit-sharing ratio, capital contributions, salaries if any, who may bind the firm, how a retiring or deceased partner's share is settled, and how the firm can be dissolved. A deed copied from the internet rarely covers the situations your partnership will actually face.

Rapidfiling drafts the deed from your instructions, gets it signed and notarised, files the registration, and applies for the firm's PAN and any follow-up registrations such as Udyam or GST.

Who this service is for

  • Family businesses and trading firms run by two or more people
  • Professional practices operating as a firm rather than an LLP
  • Partners who want a simple structure with a clear written agreement
  • Existing unregistered partnerships that want registration for enforceability

Scope of support

What support includes

  • Discussion of the terms you have agreed and drafting of a tailored partnership deed
  • Stamp duty guidance and notarisation coordination for your state
  • Filing of the registration application with the Registrar of Firms
  • Application for the firm's PAN, and Udyam or GST registration where they apply

What support does not include

  • Limited liability protection, partners in a registered partnership are jointly and personally liable
  • Conversion into an LLP or company, which is quoted separately once decided
  • Income tax or GST return filing after registration

Requirements and documents

  • PAN and address proof of every partner
  • Photographs of all partners
  • Proof of the firm's principal place of business
  • The agreed terms (capital, ratio, salaries, duration) in writing from each partner

How the process works

  1. 1. Enquire and share the agreed terms

Tell us the partners, the business, and the terms you have already discussed. Enquire through the form on this page.

  2. 2. Deed drafting

We prepare a deed covering ownership, profits, duties, admission and exit of partners, and dissolution, then revise it with you until it reflects what was agreed.

  3. 3. Signing and stamping

All partners sign the deed, which is stamped and notarised as your state requires.

  4. 4. Registrar filing

We file the application with the Registrar of Firms and respond to any query the office raises.

  5. 5. PAN and follow-ups

Once registered, we apply for the firm's PAN and any Udyam or GST registrations in scope.

Fees and timing

What influences the quote

  • State stamp duty on the deed value and the registrar's fees
  • Number of partners and complexity of agreed terms
  • Whether follow-up registrations (PAN, Udyam, GST) are in scope

Government fees and professional fees are shown separately in every quote. GST treatment is confirmed in the quote. Rapidfiling does not publish fixed prices for this service; request a quote to receive the fee breakdown for your case.

Important limitations

  • Partners remain personally liable for the firm's debts
  • A deed cannot override the Indian Partnership Act where the Act is mandatory
  • The registrar's approval timeline depends on the state office

Frequently asked questions

Is partnership registration compulsory?

The Indian Partnership Act does not force registration, but an unregistered firm cannot enforce contractual rights against partners or third parties in court. We recommend registering, and most banks and platforms expect a registration certificate too.

How many partners can a partnership firm have?

A partnership needs at least two partners. For most businesses the practical ceiling is fifty, above which the Companies Act treats the group as a company with effect as if incorporated.

What happens if a partner wants to leave?

The deed's exit clause governs it, notice period, valuation of the share, and settlement. This is exactly why we draft the deed carefully instead of using a template.

Can the firm own property in its own name?

A registered firm can hold assets and open accounts in the firm's name, but liability still reaches the partners personally. If you want the business itself to own assets with limited liability, an LLP or company fits better.
