Service overview
A private limited company is incorporated under the Companies Act, 2013 with a minimum of two directors and two shareholders (the same people can hold both roles), and at least one director resident in India. Shareholders' liability is limited to their shareholding, and the company owns its assets, contracts, and approvals separately from the people behind it.
Incorporation runs through the Ministry of Corporate Affairs' SPICe+ form, which bundles name reservation, incorporation, Permanent Account Number, Tax Deduction Account Number, EPFO and ESIC registration, and the opening of a professional tax enrolment in states that require it. The Memorandum and Articles of Association define what the company can do and how it is governed, and the AGILE-PRO annexure records the statutory nominations.
Rapidfiling manages the full sequence, name strategy, DSCs and DINs, drafting the Memorandum and Articles around your actual plans, filing, and handover with a compliance calendar. We also tell you during scoping if a different structure fits better.

How the process works
1. Enquire and design the structure
Share the founders, shareholding plan, and business through the form. We agree the structure before filing anything.
2. DSC, DIN, and name
We arrange Digital Signature Certificates, obtain Directors' Identification Numbers, and reserve the company name.
3. Constitution documents
We draft the Memorandum and Articles around your objects and governance, and complete the SPICe+ package with you.
4. Filing and RoC approval
The application is filed with the Registrar of Companies; we handle resubmissions until approval.
5. Handover
You receive the Certificate of Incorporation, PAN, TAN, and a written compliance calendar with the first-year deadlines.
Fees and timing
What influences the quote
- Government fees and stamp duty, which vary by state and authorised capital
- Number of directors needing DSCs and DINs
- Drafting depth for the Memorandum and Articles
Government fees and professional fees are shown separately in every quote. GST treatment is confirmed in the quote. Rapidfiling does not publish fixed prices for this service; request a quote to receive the fee breakdown for your case.

Frequently asked questions
How long does incorporation usually take?
Once documents are ready, filings for a straightforward two-director company typically move within one to two weeks, subject to name availability and RoC workload. We do not promise a fixed date; the Registrar decides approval.
Can the same person be a director and shareholder?
Yes. In most founder companies the same two people are directors and shareholders. Directors need DINs; shareholders only need to hold shares.
What is the minimum capital requirement?
There is no statutory minimum paid-up capital. Companies are commonly incorporated with modest authorised capital and increase it later as needed.
Can a salaried person be a director?
Usually yes, unless your employment agreement restricts outside directorships. Check your contract or get your employer's written consent before we file.
