Limited Liability Partnership (LLP) registration

An LLP keeps the working flexibility of a partnership while limiting each partner's liability to what they have agreed to contribute. Rapidfiling incorporates the LLP under the LLP Act, 2008 and files the LLP agreement within the statutory window.

Service overview

A Limited Liability Partnership is a body corporate registered under the LLP Act, 2008. Its partners are not personally liable for the LLP's debts beyond their agreed contribution, and the LLP continues regardless of which partners join or leave. It needs at least two partners (individuals or bodies corporate) and at least two designated partners who are responsible for compliance, one of whom must be resident in India.

Two documents matter most. The incorporation filing (Form FiLLiP) creates the LLP, and the LLP agreement filed in Form 3 within thirty days of incorporation records the rights and duties of the partners. Missing the Form 3 window attracts additional fees, so we prepare the agreement alongside the incorporation rather than after it.

LLPs suit professional practices, family businesses, and ventures where partners share control and want liability protection without company-style share capital. Where equity investment is the goal, a private limited company usually fits better, and we will say so during scoping.

What influences the quote

  • Government fees and state stamp duty, which scale with the total capital contribution
  • Number of partners needing DSCs and DPINs
  • Complexity of the LLP agreement terms

Government fees and professional fees are shown separately in every quote. GST treatment is confirmed in the quote. Rapidfiling does not publish fixed prices for this service; request a quote to receive the fee breakdown for your case.

Frequently asked questions

How is an LLP different from a registered partnership firm?

An LLP is a body corporate with perpetual existence and limited liability; a firm's partners are personally liable. LLPs also file annual forms with the RoC, which a partnership firm does not.

Can a company be a partner in an LLP?

Yes. Bodies corporate can be partners, and any company acting as a partner must be represented through its authorised signatory. This is common in joint-venture LLPs.

What is the minimum capital contribution?

There is no statutory minimum. Partners can contribute as little as they agree, in cash or kind, and the contribution is recorded in the LLP agreement.

What if the LLP agreement is filed late?

Form 3 is due within thirty days of incorporation. Late filing attracts additional fees that grow with the delay, which is why we prepare the agreement before incorporation completes.
